Vendor Managed Inventory. The parties agree to the following process for Vendor Managed Inventory (VMI). Vendor Managed Inventory (VMI) for the purposes of this Letter of Understanding refers to the delivery of hardware, bushings and consumables (Collectively referred to as materials) to the shop floor work centres. Vendors will be responsible for the delivery/stocking of their supplied inventory at the work centres.
Vendor Managed Inventory. SUPPLIER shall establish and properly manage a Vendor Managed Inventory (VMI) program whereby suppliers will deliver Components to a VMI location for SUPPLIER’s withdrawal as needed. SUPPLIER shall execute agreements with suppliers to ensure the proper delivery to and handling of Components at the VMI location. [***]. Such VMI programs may be set forth in separate VMI agreements, as applicable, if desired by the parties.
Vendor Managed Inventory. Supplier and Cisco will enter into an arrangement for Supplier to provide vendor managed inventory services of finished goods for the [**] Product beginning on the later of [**] or the date that Cisco has achieved trailing twelve (12) month revenue of at least [**] US Dollars (US$[**]) with respect to Products purchased hereunder.
Vendor Managed Inventory. (VMI) SOLUTIONVendor Managed Inventory. The Company will work with Xxxxx towards establishing as soon as reasonably practicable a vendor managed inventory capability which will involve the Company in providing Xxxxx Branded Products on a periodic basis to bring Xxxxx' inventory up to an agreed minimum level or above but not exceeding an agreed maximum level.
Vendor Managed Inventory. The parties agree that the vendor managed inventory terms and conditions set out in Attachment 2, attached to and incorporated in this Exhibit A-1, will apply to all purchases of New UAS Products during the Term.
Vendor Managed Inventory. At any time during the Term hereof, Buyer may choose to implement a vendor-managed inventory system. In such event, both parties shall negotiate in good faith as to the amendments hereto and any other agreements that would be necessary to implement such a vendor-managed inventory system.
Vendor Managed Inventory. Supplier shall maintain available Inventory of “machined Product” and “finished Product,” in each case based on the then-current Forecast, for delivery pursuant to Sections 1.3 and 5.2, as set forth on Exhibit F. For purposes hereof, (i) “machined Products” shall mean Product additively manufactured and machined but unpackaged, and (ii) “finished Products” shall mean machined additively manufactured Product, packaged and ready for sterilization pursuant to the Agreement. The terms “machined Products” and “finished Products” are collectively referred to here as “Inventory.” Supplier and SI-BONE agree to meet [*] for the purpose of adding or removing Products, or adjusting Inventory levels of the Products, listed on Exhibit F. If the Inventory quantity level is reduced below a current Inventory level, SI-BONE is responsible for any existing Inventory at the prior Inventory level until it is consumed, and the new Inventory quantity level goes into effect. “Finished product” will be maintained by the Supplier in Inventory as safety stock for any unplanned increases in demand and will be shipped to the sterilizer within [*] after delivery of a Drawdown Order for “finished product” in the quantity set forth in Exhibit F for “finished products.” Supplier will have [*] to replenish “finished product” after shipment against a Drawdown Order. In the event Supplier maintains any “finished Product” in Inventory for more than [*], upon notice from Supplier of such event, SI-BONE shall deliver a Drawdown Order against any such “finished Product” in the quantity set forth in Exhibit F and Supplier shall replenish such “finished product” within [*] unless otherwise agreed between the parties. In the event that the Inventory maintained by the supplier for any VMI Product has not be subject to a Drawdown Order for a period greater than [*] (“Non-Moving Inventory”), then, upon notice from the Supplier, SI-BONE will issue a drawdown Order for the Product Inventory, provided, however, that SI-BONE shall have no obligation to purchase in excess of the Inventory as set forth in Exhibit F and subject to the conditions set forth in this Section 1.5. Non-Moving Inventory Product will be removed from the VMI inventory and Exhibit F will be amended by the parties to remove that Product. Supplier shall be solely responsible for maintaining sufficient Inventory to satisfy the delivery requirements under the Agreement and for any loss, damage or replacement to any Inventory.” [*] = Cert.
Vendor Managed Inventory. SUPPLIER shall establish and properly manage a Vendor Managed Inventory (VMI) program whereby suppliers will deliver Components to a VMI location for SUPPLIER’s withdrawal as needed. SUPPLIER shall execute agreements with suppliers, on terms mutually acceptable to BUYER and SUPPLIER, to ensure the proper delivery to and handling of Components at the VMI location. SUPPLIER shall use diligent efforts to ensure that [***] of the total number of BUYER controlled Components for each Product manufactured hereunder are managed under a VMI program [***] executing any Statement of Work associated with this Agreement. In no event shall BUYER have any liability for any Components placed in the VMI location, including, without limitation due to shrinkage, unless BUYER gives prior approval on a case-by-case basis, in writing, that liability is accepted. Such VMI programs may be set forth in separate VMI agreements, as applicable, if desired by the parties.
Vendor Managed Inventory. (VMI). Appendix 6 shall govern SSCI's VMI warehouse services including the receipt of finished goods, management of inventory and execution of Product delivery on-site at McDATA's manufacturing site.
